Real Estate and Corporate Transactions

1.    Handled the acquisition, financing, development and sales of office buildings, apartment buildings, manufacturing facilities, regional shopping malls and merchandising centers, restaurant chains, hotels, residential communities, mixed-use development projects, raw land, and residential condominium, co-operative and time share projects.

2.    Represented W. R. Grace & Co., as in-house counsel, with respect to all types of real estate matters and the divestment of complex multi-national businesses with sales prices of up to $4 billion and operations locates throughout the U.S. and in over 40 foreign countries.

3.    Represented AutoNation, as in-house counsel, in acquiring, selling and leasing car dealerships and rental car facilities in Florida and other parts of the U.S.

4.    Represented lenders and borrowers in making and obtaining acquisition, construction, permanent and revolving loans of various sizes secured by real estate and non-real estate assets; represented lenders and borrowers with respect to interest rate swaps.

5.    Represented commercial bank in resolving portfolio of critized loans, including negotiating workouts, modifying non-performing loans and providing real estate support for foreclosures.

6.    Represented lender in $52 million construction loan for condominium project in Miami, Florida.

7.    Represented borrower in $52 million loan to finance life insurance policy - loan secured by  insurance policy and investment accounts with interest rate swap.

8.    Formed and dissolved entities, prepared governance documents, obtained operating licenses and permits and represented purchasers and sellers of shareholder, partnership and membership interets.

9.    Prepared joint venture agreements; reviewed private placement memoranda, facilitated corporate restructurings.

10.   Represented developers of mixed-use resorts in Florida, Nevada, Arizona, Colorado and various Caribbean locations including the Bahamas, Dominican Republic, Puerto Rico, Antigua and Mexico.

11.   Represented developers in formation of luxury high-rise residential condominiums, condominium hotels, senior living condominium, warehouse condominium and planned unit developments.

12.   Represented purchaser of 5,000+ acres in Osceola County, Florida.

13.   Represented landlords and tenants in negotiating and drafting commercial and retail leases and subleases in Florida and other states.

14.   Represented owner of South Florida's largest business park in negotiating and preparing warehouse and industrial leases.

15.   Represented cellular tower company in preparing cell tower leases and build-to-suit agreements throughout the U.S.

16.   Handled complex site splits of shared industrial manufacturing facilities in the U.S. and abroad.

17.   Represented sellers and buyers in negotiating environmental covenants and indemnities; represented seller of superfund site in Woburn, Massachusetts.

18.   Represented quasi-governmental agency in a public/private joint venture to develop affordable housing in Miami-Dade County, Florida.

19.   Represented homeowners in negotiating turnover of master homeowners association and acquisition of clubhouse and other facilities from developer.

20.   Represented unit purchasers, condominium associations and homeowners' associations in various matters and disputes.

21.   Represented manufacturers in drafting purchase orders for sales of a prototype and manufactured equipment to company in Germany.

22.   Represented developers in negotiating and drafting project real estate brokerage agreements.   

23.   Represented national title insurance company in resolving title insurance claims.
